Definitions<\/h2>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>Consumer<\/strong>\u00a0\u2014 a natural person who buys for purposes outside their trade, business or profession.<\/li>\n\n\n\n<li><strong>Business Customer<\/strong>\u00a0\u2014 any person buying in the course of their trade, business or profession, including companies, sole traders and public institutions.<\/li>\n\n\n\n<li><strong>Customer<\/strong>\u00a0\u2014 a Consumer or a Business Customer.<\/li>\n\n\n\n<li><strong>Goods<\/strong>\u00a0\u2014 physical products sold in the Shop, such as controllers, LED strips, power supplies and accessories.<\/li>\n\n\n\n<li><strong>Digital Content<\/strong>\u00a0\u2014 software licences and licence keys, including LED Strip Studio licences.<\/li>\n\n\n\n<li><strong>Services<\/strong>\u00a0\u2014 services sold in the Shop, such as online training sessions.<\/li>\n<\/ul>\n\n\n\n<h2 class=\"wp-block-heading\">3. Scope<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">3.1 These Terms apply to all contracts concluded through the Shop.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">3.2 Some provisions apply only to Consumers or only to Business Customers; this is stated where relevant. Mandatory consumer protection rights are never limited by these Terms.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">3.3 By entering a company name or VAT ID at checkout, you confirm that you are ordering as a Business Customer.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">3.4 General terms of Business Customers do not apply unless we agree to them in writing.<\/p>\n\n\n\n<blockquote class=\"wp-block-quote is-layout-flow wp-block-quote-is-layout-flow\">\n<p class=\"wp-block-paragraph\"><strong>[Review note]<\/strong>&nbsp;Confirm whether 3.3 is sufficient to classify a customer as B2B, or whether an explicit checkbox is needed.<\/p>\n<\/blockquote>\n\n\n\n<h2 class=\"wp-block-heading\">4. Products and technical information<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">4.1 Product descriptions, specifications and documentation are provided in good faith. Product images are illustrative and may differ in minor details that do not affect function.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">4.2 Our products are professional equipment. The Customer is responsible for choosing products compatible with their installation \u2014 in particular LED IC type, supply voltage, current load, cable length and protocol (Art-Net, sACN, DMX512, SPI). We are happy to advise before purchase at&nbsp;<a href=\"mailto:info@ledstripstudio.com\" target=\"_blank\" rel=\"noopener\">info@ledstripstudio.com<\/a>.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">4.3 Installation must follow the product documentation and applicable electrical safety rules.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">5. Prices and taxes<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">5.1 Prices are in euros (EUR).<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">5.2 Prices for Consumers include VAT at the applicable rate.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">5.3 Business Customers established in another EU member state who provide a valid VAT ID, verified in the VIES system, are invoiced without VAT under the reverse charge mechanism. If the VAT ID cannot be verified, VAT is charged.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">5.4 Deliveries outside the European Union are invoiced without VAT. Import duties, taxes and customs clearance fees in the destination country are [\u25cf paid by the Customer \/ included in the shipping price].<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">5.5 Delivery costs are shown in the cart before the order is placed and are listed on the Shipping page.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">5.6 If a product is listed at an obviously incorrect price due to a technical or typing error, we will inform you and you may confirm the order at the correct price or cancel it free of charge.<\/p>\n\n\n\n<blockquote class=\"wp-block-quote is-layout-flow wp-block-quote-is-layout-flow\">\n<p class=\"wp-block-paragraph\"><strong>[Review note]<\/strong>&nbsp;5.4 depends on the pending decision on customs (DAP vs DDP). Check that 5.6 is compatible with the moment of contract formation in 6.3.<\/p>\n<\/blockquote>\n\n\n\n<h2 class=\"wp-block-heading\">6. Placing an order and conclusion of the contract<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">6.1 Product presentation in the Shop is not a binding offer.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">6.2 By clicking the order button, you submit a binding order. Before submitting it you can review and correct all entered data.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">6.3 After receiving your order we send an automatic confirmation of receipt. The contract is concluded when we send you an email confirming that we have accepted the order.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">6.4 The contract is concluded in English. We store the contract and send these Terms to you by email with the order confirmation.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">6.5 For larger projects, Business Customers may request an individual quotation. An accepted quotation takes precedence over these Terms where they differ.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">7. Payment<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">7.1 Payments are processed by Stripe. Available payment methods are payment cards and other methods shown at checkout, such as Apple Pay and Google Pay, and bank transfer.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">7.2 For bank transfer, payment is due within 7 days of the order. If payment is not received on time, we may cancel the order.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">7.3 Goods remain our property until paid in full.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">8. Delivery<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">8.1 We deliver to the countries listed on the Shipping page. Indicative delivery times are stated there and in the cart.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">8.2 Unless a different period is agreed, we deliver without undue delay and no later than 30 days from conclusion of the contract.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">8.3 Products assembled or configured to order \u2014 such as custom cabling \u2014 require additional production time, which we communicate with the order.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">8.4 For Consumers, the risk of loss or damage passes when the Consumer, or a person designated by them other than the carrier, takes physical possession of the goods. For Business Customers, risk passes when the goods are handed over to the carrier.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">8.5 Please check the package on delivery. If it is visibly damaged, note this in the carrier&#8217;s delivery record, or refuse the delivery, and inform us within 3 working days. This does not limit a Consumer&#8217;s statutory rights.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">9. Software licences<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">9.1 Software licences are delivered electronically as a licence key or activation, usually by email.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">9.2 Use of the software is governed by the LED Strip Studio End User Licence Agreement [\u25cf link]. Time-limited licences, such as 5-year licences, expire at the end of the stated period.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">9.3 Consumers: licences are delivered during the withdrawal period only with the Consumer&#8217;s express consent given at checkout and the Consumer&#8217;s acknowledgement that they thereby lose the right of withdrawal. We confirm this consent by email.<\/p>\n\n\n\n<blockquote class=\"wp-block-quote is-layout-flow wp-block-quote-is-layout-flow\">\n<p class=\"wp-block-paragraph\"><strong>[Review note]<\/strong>&nbsp;Requires a mandatory checkbox at checkout for digital products. Confirm whether an EULA exists or needs to be drafted.<\/p>\n<\/blockquote>\n\n\n\n<h2 class=\"wp-block-heading\">10. Services (online training)<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">10.1 Training sessions take place online at a date agreed with the Customer after purchase.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">10.2 A session can be rescheduled free of charge if requested at least 24 hours before the agreed start. A session missed without notice is considered delivered.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">10.3 Consumers: the session is performed during the withdrawal period only at the Consumer&#8217;s express request. The Consumer loses the right of withdrawal once the service has been fully performed.<\/p>\n\n\n\n<blockquote class=\"wp-block-quote is-layout-flow wp-block-quote-is-layout-flow\">\n<p class=\"wp-block-paragraph\"><strong>[Review note]<\/strong>&nbsp;Check 10.2 (&#8220;considered delivered&#8221;) against consumer protection rules.<\/p>\n<\/blockquote>\n\n\n\n<h2 class=\"wp-block-heading\">11. Right of withdrawal<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Consumers may withdraw from the contract within 14 days under the conditions set out in our [Refund and Returns Policy]. Business Customers have no statutory right of withdrawal.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">12. Liability for defects and complaints<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>12.1 Consumers<\/strong><\/p>\n\n\n\n<p class=\"wp-block-paragraph\">(a) We are liable for defects that exist when the goods are delivered and appear within&nbsp;<strong>24 months<\/strong>&nbsp;of delivery.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">(b) A complaint can be made by email to&nbsp;<a href=\"mailto:info@ledstripstudio.com\" target=\"_blank\" rel=\"noopener\">info@ledstripstudio.com<\/a>&nbsp;or by post to our address. Please include the order number, a description of the defect and, where possible, photos or a video. Send the product to us only after we confirm the return address and method.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">(c) We will confirm receipt of the complaint without delay and resolve it within&nbsp;<strong>30 days<\/strong>&nbsp;of the day it was made, unless a longer period is agreed. We will inform you of the outcome in writing.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">(d) Depending on the nature of the defect, you are entitled to repair or replacement of the goods, and where this is not possible or appropriate, to a price reduction or to withdraw from the contract, as provided by law.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">(e) If your complaint is accepted, we reimburse reasonable costs of sending the goods to us.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>12.2 Business Customers<\/strong><\/p>\n\n\n\n<p class=\"wp-block-paragraph\">(a) Business Customers must inspect the goods on delivery and notify us of any defect without undue delay after it was discovered or could have been discovered.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">(b) We provide a warranty of 24 months from delivery, or the longer warranty period stated on the product page.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">(c) We choose the method of remedy \u2014 repair, replacement or credit note.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>12.3 What is not a defect<\/strong><\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Liability does not cover damage caused by:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>incorrect wiring, reversed polarity or connection to an unsuitable power supply;<\/li>\n\n\n\n<li>overvoltage, current overload or electrostatic discharge;<\/li>\n\n\n\n<li>use outside the product specification, including exposure to moisture beyond the stated IP rating;<\/li>\n\n\n\n<li>mechanical damage, unauthorised modification or repair;<\/li>\n\n\n\n<li>cutting, soldering or shortening LED strips or cables \u2014 except damage demonstrably unrelated to such work;<\/li>\n\n\n\n<li>normal wear and tear.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>12.4 Extended warranty<\/strong><\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Selected products \u2014 currently LED Ethernet Controller 3 and SPI LED Controller \u2014 come with a&nbsp;<strong>5-year warranty<\/strong>, as stated on the product page. The extended warranty covers defects in materials and workmanship, applies to Consumers and Business Customers, and does not affect statutory rights. Section 12.3 applies accordingly.<\/p>\n\n\n\n<blockquote class=\"wp-block-quote is-layout-flow wp-block-quote-is-layout-flow\">\n<p class=\"wp-block-paragraph\"><strong>[Review note]<\/strong>&nbsp;Extended warranty taken over from the previous shop (product attribute &#8220;Warranty: 5 years&#8221;). Confirm the product list and whether a separate warranty statement is required.<\/p>\n<\/blockquote>\n\n\n\n<blockquote class=\"wp-block-quote is-layout-flow wp-block-quote-is-layout-flow\">\n<p class=\"wp-block-paragraph\"><strong>[Review note]<\/strong>&nbsp;Check the list in 12.3 against the Civil Code for consumers. Confirm whether to state the burden-of-proof period for Consumers explicitly.<\/p>\n<\/blockquote>\n\n\n\n<h2 class=\"wp-block-heading\">13. Limitation of liability<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">13.1 Towards Business Customers, our total liability arising from a contract is limited to the price paid for the relevant product, and we are not liable for indirect damage, lost profit, lost data or costs of production downtime, to the extent permitted by law.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">13.2 This limitation does not apply to damage caused intentionally or by gross negligence, to personal injury, or to liability that cannot be limited by law.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">13.3 Nothing in these Terms limits the statutory rights of Consumers.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">14. Export control and sanctions<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">14.1 The Customer is responsible for complying with import regulations of the destination country.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">14.2 The Customer shall not sell, export or re-export, directly or indirectly, to the Russian Federation or Belarus, or for use in the Russian Federation or Belarus, any goods supplied under a contract that fall within the scope of Article 12g of Council Regulation (EU) No 833\/2014 or the corresponding provisions of Council Regulation (EC) No 765\/2006.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">14.3 Breach of 14.2 is a material breach of the contract. We may refuse or cancel orders where we have reason to believe that goods would be supplied in breach of sanctions.<\/p>\n\n\n\n<blockquote class=\"wp-block-quote is-layout-flow wp-block-quote-is-layout-flow\">\n<p class=\"wp-block-paragraph\"><strong>[Review note]<\/strong>&nbsp;Transferred from the previous website terms. Dispute resolution and governing law<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">16.1 If you are not satisfied with how we handled a complaint or believe we have violated your rights, you may ask us for redress at&nbsp;<a href=\"mailto:info@ledstripstudio.com\" target=\"_blank\" rel=\"noopener\">info@ledstripstudio.com<\/a>.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">16.2 Consumers may submit a proposal for alternative dispute resolution to an ADR entity, in particular the Slovak Trade Inspection, or another authorised entity listed by the Ministry of Economy of the Slovak Republic.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">16.3 These Terms are governed by the law of the Slovak Republic. For Consumers, this choice of law does not deprive them of protection under mandatory provisions of the law of their country of habitual residence.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">16.4 Disputes with Business Customers are subject to the jurisdiction of the courts of the Slovak Republic.<\/p>\n\n\n\n<blockquote class=\"wp-block-quote is-layout-flow wp-block-quote-is-layout-flow\">\n<p class=\"wp-block-paragraph\"><strong>[Review note]<\/strong>&nbsp;Verify current ADR information and the list of ADR entities.<\/p>\n<\/blockquote>\n\n\n\n<h2 class=\"wp-block-heading\">17. Final provisions<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">17.1 We may change these Terms.
